SANTA CLARA, CALIFORNIA / RankWire.AI / – Nvidia has reached an agreement to purchase Hugging Face in a deal valued at approximately $12.93 billion. The two companies finalized the definitive agreement on September 2, 2026. Nvidia will pay roughly $11.9 billion to Hugging Face shareholders, subject to standard adjustments. The deal also encompasses up to around $1 billion in equity-based retention bonuses for eligible employees. Both firms anticipate the transaction to be finalized in the first half of 2027, pending necessary approvals.

Hugging Face operates a prominent platform dedicated to artificial intelligence models, datasets, software libraries, and developer tools. Nvidia reports that this service attracts over 18 million developers, researchers, and creators. The platform hosts more than 3 million models and approximately 500,000 datasets. Additionally, it offers access to over 1 million applications utilized for AI development. More than 200,000 companies leverage Hugging Face services to explore, test, customize, and deploy AI solutions across diverse computing environments.
Following the acquisition, both companies stated that Hugging Face will continue supporting multiple models, frameworks, cloud services, and hardware platforms. Developers will not be required to use Nvidia hardware to access the platform. Hugging Face will maintain support for open-source and open-weight models from various providers. Its services will also remain compatible with multiple cloud environments and hardware accelerators. Nvidia confirmed that the platform will continue collaborating with silicon vendors beyond its own products, as part of commitments associated with the deal.
Open AI platform commitments to persist
Hugging Face was founded in 2016 by Clément Delangue, Julien Chaumond, and Thomas Wolf. The company has since expanded into hosting models, datasets, developer libraries, and cloud-based AI tools. It reached a valuation of $4.5 billion during an August 2023 funding round, which raised $235 million from technology investors. Prior to the acquisition, Nvidia and Hugging Face collaborated on projects connecting developers with Nvidia’s computing infrastructure and software solutions.
Nvidia disclosed the agreement through a Form 8-K filed with the U.S. Securities and Exchange Commission on September 3, 2026. The filing confirms that the deal remains under review and has not yet been finalized. The completion of the transaction depends on regulatory approvals and standard closing conditions. Nvidia also outlined ongoing commitments regarding Hugging Face’s operations post-acquisition. These include continued access to models and datasets, multi-cloud support, and compatibility with hardware accelerators produced by other semiconductor firms.
Targeted completion expected in early 2027
Nvidia has already established a significant footprint within the Hugging Face developer community. The company reports having published over 500 models and more than 250 open datasets on the platform. Nvidia also supplies software libraries and development tools that can be adapted for various AI projects. Hugging Face supports model discovery, evaluation, customization, and deployment, serving companies, research institutions, and independent developers engaged in machine learning, generative AI, and other artificial intelligence applications.
The $12.93 billion Nvidia acquisition of Hugging Face will remain subject to review until all conditions for closing are satisfied. Nvidia anticipates completing the deal during the first half of 2027. Under the announced commitments, Hugging Face will continue supporting developers across various models, cloud platforms, frameworks, and hardware. The platform will retain its multi-cloud and multi-accelerator approach. Until the transaction is finalized, Nvidia and Hugging Face will operate as separate entities under the terms of the signed agreement.
